VS Shift Beta Participation Terms

These Beta Terms ("Terms") govern your participation in the invite-only VS Shift Unpaid Beta Program (the "Program") operated by Vibe Science Pte. Ltd. and its affiliates ("Vibe Science," "we," "us," or "our"). By clicking "I agree," enrolling in, or using any beta hardware, software, or content (collectively, the "Beta Product"), you agree to these Terms.

If you do not agree, do not participate.

1. Nature of the Program and Product

The Program is a private, invitation-only beta for testing an early-stage audio-visual stimulation ("AVS") system, including hardware, software, and related content.

The Beta Product is experimental, under active development, and may contain bugs, interruptions, incomplete features, or unexpected behaviour.

The Beta Product is wellness-oriented and not a medical device, diagnostic tool, or treatment. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition, and participation does not create any medical, clinical, or therapeutic relationship.

2. Eligibility, Self-Assessment, and Voluntary Participation

By participating, you represent and warrant that:

You are at least 18 years old and capable of giving informed consent.
You have carefully read and truthfully completed any eligibility or attestation questions presented to you.
You have no history of epilepsy or seizures (including photosensitive seizures), unexplained blackouts or absences, seizure-like symptoms (including unexplained morning limb or head jerks), or significant brain injury (including stroke, traumatic brain injury, encephalitis, brain infection or abscess, severe meningitis, brain surgery, or brain tumour), unless you have explicit clearance from a qualified healthcare professional to participate.
You are not undergoing alcohol withdrawal and are not withdrawing from sedative medications after prolonged use.
You are not currently experiencing psychosis or psychotic symptoms, frequent panic attacks, severe dissociation, PTSD-related flashbacks or dissociative symptoms, or strong suicidal thoughts, feelings, or impulses.
You understand that we do not screen, verify, or monitor your responses and that we rely entirely on your truthful self-assessment. Providing inaccurate or incomplete information makes you ineligible to participate and may result in termination from the Program.

Participation is entirely voluntary. You may stop using the Beta Product and withdraw from the Program at any time without penalty, subject to device return obligations in Section 8.

3. License and Use Restrictions

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Beta Product solely for your personal, non-commercial evaluation as part of the Program.

You must not:

Share, sell, lease, sublicense, or otherwise transfer the Beta Product to any third party.
Reverse engineer, decompile, or attempt to access any source code or underlying designs.
Use the Beta Product for commercial, promotional, clinical, or emergency purposes.
Represent or imply that the Beta Product is finished, approved, or medically validated.

All rights not expressly granted are reserved by Vibe Science.

4. What Participation Involves

Participation may include:

Using the Beta Product in accordance with instructions we provide.
Completing surveys, questionnaires, or interviews.
Allowing collection of device usage, subjective self-report, and (if you choose to connect services) certain physiological or wellness data.
Providing qualitative or quantitative feedback on your experience.

You understand that no specific benefit, outcome, or effect is guaranteed, and individual responses may vary significantly.

5. Data Collection, Use, and Privacy

We may collect and process:

Device and application usage data (for example, session duration, frequency, and settings).
Subjective self-reports (for example, perceived sleep quality, relaxation, mood, or other experiential feedback).
Physiological or wellness data that you voluntarily provide or sync from third-party services (for example, sleep metrics, heart rate, or heart rate variability), if you choose to connect those services.

If you connect a third-party service (such as a wearable device or health platform), you authorize us to access and use data that service makes available to us in accordance with your permissions. We do not control third-party data practices and you should review their terms and privacy policies separately.

We may use data:

To operate, evaluate, and improve the Beta Product.
For internal research and development.
To analyze aggregate or system-level patterns.
To generate anonymized or aggregated insights, which we may use or share for any lawful purpose.

Your participation is also subject to our Privacy Policy, which is incorporated by reference into these Terms.

6. Risks, Contraindications, and Assumption of Risk

The Beta Product uses rhythmic visual and/or auditory stimulation patterns that may influence subjective states such as relaxation, focus, imagery, or altered perception. Effects vary widely between individuals, and some experiences may be neutral, pleasant, or distressing.

You acknowledge that:

Exposure to flashing lights or rhythmic visual patterns can, in rare cases, provoke seizures or seizure-like events, including in people without a prior diagnosis of epilepsy or other neurological conditions.
Potential adverse effects may include eye strain or visual discomfort, headache, dizziness, nausea, temporary sleep disruption, emotional or sensory discomfort, anxiety, dissociation, altered perception, or (in rare cases) seizure-like events.
No use of rhythmic light or sound stimulation can be guaranteed to be free of risk.

You must not participate if any of the exclusion conditions in Section 2 apply to you. Certain medications can lower seizure threshold; if you are unsure whether your medications may increase seizure risk, you must consult your prescribing healthcare professional before participating. We do not provide guidance on medication safety or interactions.

You agree to immediately stop using the Beta Product and seek medical advice if you experience any concerning symptoms, including involuntary movements or twitching, muscle spasms, convulsions, loss of awareness, confusion, disorientation, or other distressing physical or psychological effects. You must not resume use unless cleared by a qualified healthcare professional, and we may terminate your participation for safety reasons.

By participating, you knowingly and voluntarily assume all known and unknown risks associated with your use of the Beta Product and the Program.

Nothing in the Program, the Beta Product, or these Terms constitutes medical advice or a substitute for professional medical care.

7. Feedback and Intellectual Property

Any feedback, suggestions, ideas, observations, or data-derived insights you provide in connection with the Program ("Feedback") are voluntary.

You hereby irrevocably assign to Vibe Science all right, title, and interest in and to any Feedback, including all intellectual property rights, worldwide and in perpetuity, without additional compensation. Vibe Science may use, modify, reproduce, disclose, and exploit Feedback for any purpose.

8. Hardware Ownership and Return

Unless we explicitly state otherwise in writing, any hardware provided to you as part of the Program remains the property of Vibe Science.

Upon withdrawal from the Program or upon our request, you agree to return any hardware in reasonable condition within the timeframe and using the method specified by us. Failure to return hardware when required may result in fees or legal action to recover our property.

9. Disclaimers

The Beta Product and Program are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Beta Product will be error-free, secure, or uninterrupted, or that any particular outcome, effect, or improvement will occur.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with the Program or your use of (or inability to use) the Beta Product.
Our total aggregate liability arising out of or relating to the Program and these Terms will not exceed one hundred US dollars (USD $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those cases, the limitations will apply to the fullest extent permitted by applicable law.

11. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Vibe Science and its officers, directors, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use or misuse of the Beta Product.
Your breach of these Terms.
Use of the Beta Product by any unauthorized third party using your access.
Any false, inaccurate, or incomplete statements you make regarding your eligibility, health status, or contraindications.

12. Termination

We may suspend or terminate your participation in the Program, or your access to the Beta Product, at any time and for any reason, including safety concerns, non-compliance with these Terms, or operational decisions.

You may stop using the Beta Product and withdraw from the Program at any time. Sections that, by their nature, should survive termination (including confidentiality, data use, IP ownership, disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to its conflict-of-law principles.

The parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or in connection with these Terms or the Program.

14. Acknowledgement and Consent

By clicking "I agree" or by participating in the Program, you confirm that:

You are at least 18 years old.
You have read and understood these Terms, including the risk information and exclusion criteria.
You understand that the Beta Product is experimental, under development, and not a medical device or treatment.
You meet the stated eligibility criteria and have truthfully answered all self-assessment questions.
You accept and assume the risks described above and agree to discontinue use and seek medical advice if you experience adverse symptoms.
You consent to data collection and use as described in these Terms and in our Privacy Policy.
